10 January 2020
TO ALL SKAL INTERNATIONAL PERTH Inc MEMBERS
NOTICE OF ANNUAL GENERAL MEETING (“A.G.M.”)
The A.G.M. of SKAL INTERNATIONAL PERTH will be held on Thursday, 20 February 2020 at noon in the LITTLE SHOE at the Shoe Bar and Café Yagan Square, Perth WA 6000.
SPECIAL RESOLUTION:
To consider and if thought fit pass as a Special Resolution the following: “To adopt a new constitution for SKAL INTERNATIONAL PERTH in the terms of the document circulated with the notice of this meeting with the new constitution to be effective when lodged with the Department of Commerce to meet SKAL INTERNATIONAL PERTH’s statutory obligations under the Associations Incorporation Act 2015.”
All W.A. incorporated associations are required to review and where necessary update their rules, known as their constitution, by the 30 June 2019 to ensure that the document complies with the Associations Incorporation Act 2015. This was designed to improve the overall average standard of governance in this important sector. To meet these requirements the SKAL INTERNATIONAL PERTH Committee resolved at its meeting of the 2 July 2019, to adopt a new constitution for SKAL INTERNATIONAL PERTH in the form of the document attached to this notice for you to review and consider.
Please read the attached document carefully and compare it with the existing constitution which is attached to this email. You will see that the proposed constitution is basically SKAL INTERNATIONAL PERTH’s objectives from the old constitution with minor changes including new notice periods and quorum rules inserted into the model rules published by the Department of Commerce and Consumer Protection.
If you have any queries about the proposed new rules, please let me know by email as soon as possible so we can endeavor to deal with them by correspondence with you before
14 February 2020.
Please RSVP your intention to attend by Monday 17 February 2020. Of course, members must be financial on the date of the AGM for their vote to count.
Kind regards and Skål
Nicola Strudwick
President
